End User Licence Agreement (EULA)
Effective Date: 18 February 2026
This End User Licence Agreement (EULA) is a legal agreement between you (you or your) and Kalima Pty Ltd as trustee for the M T Goodfellow Family Trust, trading as Care Systems, ACN 010 962 268 (we, us or our) for the use of our software, including any associated services, features, and content (collectively, Service), which is provided under the agreement (Subscription Agreement) between your organisation (Customer) and us.
By accessing or using the Service, you agree to be bound by the terms and conditions of this EULA.
If you do not agree to these terms, or your organisation does not have a current Subscription Agreement, you must not use the Service.
To the extent of any inconsistency between this EULA and the Subscription Agreement, the Subscription Agreement prevails.
1. Grant of Licence
We grant you a non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business or personal purposes, subject to the terms of this EULA.
2. Restrictions on Use
You agree not to:
(a) copy, modify, distribute, or create derivative works of the Service;
(b) reverse engineer, decompile, or disassemble the Service, except to the extent permitted by law;
(c) use the Service for any illegal, unlawful, fraudulent, defamatory, harmful or inappropriate activity or in violation of any applicable laws or regulations;
(d) share access credentials or allow any unauthorised third party to access the Service;
(e) use the Service in a manner that could damage, disable, overburden, or impair the Service or interfere with any other party’s use of the Service.
(f) attempt to override any security or protective measures embedded in the Services;
3. Intellectual property
All intellectual property rights in the Service, including but not limited to software, trademarks, logos, and content, are owned by us or our licensors. You acknowledge that this EULA does not transfer any ownership rights in the Service to you.
4. Privacy acknowledgment and consent
(a) You acknowledge and agree that we may collect, use, store, and process personal data in connection with your access to and use of the Service. Such data collection, use, storage, and processing will be conducted in accordance with the Subscription Agreement and our Privacy Policy, which is available at https://www.caresystems.com.au/privacy-policy/.
(b) By accepting this EULA, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy. You are encouraged to review the Privacy Policy carefully to understand our practices regarding personal data.
5. Term and termination
(a) This EULA is effective as of the Effective Date and will remain in effect until terminated by either party. We may terminate this EULA immediately if you breach any term of this EULA. Upon termination, you must cease all use of the Service and delete any copies of the Service in your possession.
(b) If you breach this EULA, we may (temporarily or permanently) suspend or cancel your account, in our reasonable discretion without notice. We may notify the Customer and further deal with the issue in accordance with the Subscription Agreement.
6. Disclaimer of warranties
The Service is provided “as is” and “as available” without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components.
7. Limitation of liability
(a) To the maximum extent permitted by law and subject to the Subscription Agreement, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use or inability to use the Service, even if we have been advised of the possibility of such damages.
(b) To the maximum extent permitted by law and subject to the Subscription Agreement, in no event will our total aggregate liability (whether in contract, tort (including negligence), or statute) in connection with this EULA exceed AUD$100.
8. Governing law and jurisdiction
This EULA shall be governed by and construed in accordance with the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland, Australia, to resolve any disputes arising out of or in connection with this EULA.
9. Amendments
We reserve the right to amend this EULA at any time. Any amendments will be effective upon posting the updated EULA on our website or notifying you by other means. Your continued use of the Service after such amendments constitutes acceptance of the updated EULA.
10. Entire agreement
This EULA constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral.
11. Severability
If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12. Relationship of parties
This EULA does not create any partnership, joint venture or employment relationship. You must not represent yourself or allow anyone else to represent that you are our partner, joint venturer, officer, employee or agent.
